The Bidagora platform (the "Platform") is operated by Bidagora LLC, a limited liability company formed in the Sharjah Media City (Shams) Free Zone, United Arab Emirates, formation number 2648605 ("Bidagora", "we", "us"). By accessing or using the Platform, you agree to be bound by these Terms of Service ("Terms"), which form an agreement between you and Bidagora LLC. If you do not agree, do not use the Platform. Bidagora may update these Terms from time to time. Continued use after a change constitutes acceptance of the revised Terms. Material changes will be communicated via email or a notice on the Platform.
The Platform is offered during a promotional open beta period (the "Open Beta Period"). The Platform is still being developed, and its features, pricing and these Terms may be refined while the Open Beta Period continues.
During the Open Beta Period, Bidagora LLC waives its platform fees for clients and suppliers, including the placement commission (a fee the supplier pays) described in these Terms, while pricing is finalised. The waiver is a promotional concession. It does not entitle you to any particular fee level once fees apply.
Bidagora LLC will give at least thirty (30) days' notice, by email to the address registered on your account and by a notice on the Platform, before any platform fee applies. No fee applies retroactively to requests, quotes or agreements made before that notice takes effect.
Payments between clients and suppliers remain directly between them, as set out in these Terms. Bidagora does not collect, hold or process them.
Beta features may change, be suspended or be withdrawn at any time, and may contain errors. They are provided on the basis described in the section on limitation of liability.
Bidagora is a procurement platform for event production. It helps clients structure equipment and service briefs, reviews each brief before any supplier outreach, records the suppliers you approve for outreach, presents comparable quotes from vetted suppliers, and preserves the choice record.
Bidagora is a matchmaker, not a party to the supply contract. The agreement for goods or services is directly between the client and the supplier. Bidagora does not guarantee, warrant, or underwrite any supplier's performance, delivery, quality, or pricing.
You must be at least 18 years old and authorised to act on behalf of the business you represent. You are responsible for all activity under your account and for keeping your login credentials secure.
Bidagora uses third-party authentication (currently Google via WorkOS). By signing in, you also agree to the applicable third-party provider's terms.
You agree to provide accurate, current, and complete information. Bidagora reserves the right to suspend or terminate accounts that contain materially false information.
Clients may submit requests for event-production equipment and services. Receiving, comparing, and reviewing supplier quotes carries no platform charge.
When a client chooses a supplier and both sides sign the supply agreement, the client pays the supplier directly. Bidagora never collects, holds, or processes project funds on behalf of either party, and provides no payment service of any kind for the supply contract.
Clients are responsible for the accuracy of their briefs and for fulfilling their obligations under any agreement they sign with a chosen supplier.
Supplier onboarding and quoting carry no platform charge. There is no subscription, listing fee, or charge for submitting quotes.
When a supplier wins work — meaning the client chooses the supplier's quote and both parties sign the supply agreement — the supplier owes Bidagora a placement commission. The current commission is 2.5% of the agreed booking amount, with a minimum floor of AED 500. If 2.5% of the booking is less than AED 500, the supplier owes AED 500.
The placement commission is payable after both parties have signed the agreement. It is the supplier's obligation, not a surcharge added to the client's price. The client is informed that Bidagora earns a commission from the supplier.
Payment of the placement commission can be made by bank transfer (primary) or by card. Bank details and payment instructions are provided on the supplier's fee invoice within the Platform.
Suppliers are responsible for the accuracy of their company details, proof-of-capability documentation, equipment records, pricing, availability, and all content in their quotes. Quotes are authored by suppliers and reflect their own scope, pricing, assumptions, and commitments.
A "choice record" captures the client's decision to choose a supplier. The actual supply contract, including payment terms, delivery obligations, and scope, is between the client and supplier.
The client invoices are issued by the supplier. The client pays the supplier directly. Bidagora is not a payment intermediary, does not hold funds for either party, and is not liable for non-payment, late payment, or disputes arising from the supply contract.
Bidagora's placement commission is calculated by the Platform's fee schedule and cannot be negotiated per-transaction. The fee amount, rate, and any applicable floor are disclosed to the supplier before they submit a quote and again on the fee invoice after the agreement is signed.
Bidagora issues a fee invoice to the winning supplier. If Bidagora holds a UAE Tax Registration Number (TRN), the invoice will include VAT at the applicable rate (currently 5%). If Bidagora is not yet VAT-registered, the invoice will be a commercial invoice with no VAT line.
Bidagora reserves the right to change the commission rate or floor. Any change will apply only to new requests created after the change takes effect, never retroactively to existing agreements.
Bidagora owns all rights to the Platform, including its design, code, branding, and documentation. You may not copy, modify, distribute, or reverse-engineer any part of the Platform.
Content you submit (briefs, quotes, company profiles, uploaded files) remains yours. By submitting content, you grant Bidagora a non-exclusive, royalty-free licence to use, display, and process that content as necessary to operate the Platform and provide the service.
You may not use the Platform to: submit false or misleading information; bypass Bidagora's matching to avoid the placement commission; interfere with or disrupt the Platform; scrape, harvest, or collect data from the Platform without permission; use the Platform for any unlawful purpose; or impersonate another person or business.
Bidagora provides the Platform "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
To the maximum extent permitted by applicable law, Bidagora shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunity arising out of or related to your use of the Platform.
Bidagora's total aggregate liability for any claim arising from or related to these Terms or the Platform shall not exceed the total fees you have paid to Bidagora in the twelve (12) months preceding the claim.
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, or any liability that cannot be excluded under applicable law.
You agree to indemnify and hold harmless Bidagora, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the Platform, your breach of these Terms, or your violation of any applicable law or third-party rights.
You may stop using the Platform at any time. Bidagora may suspend or terminate your access at its discretion, with or without notice, for conduct that violates these Terms or is harmful to the Platform or other users.
Upon termination, any outstanding placement commission obligations survive and remain payable. Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.
These Terms are governed by the laws of the United Arab Emirates. Any disputes arising from or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts of the United Arab Emirates.
Before initiating formal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of at least thirty (30) days.
